CatalogVigil Agency Kit licence
This licence applies only after an Agency Kit checkout is activated and an order is accepted. The current CatalogVigil production build does not accept payment. When sales begin, the purchased variant shown on the Lemon Squeezy order receipt will determine the user, deployment, duration, and update limits below.
Parties and product
This agreement is between Guilherme Costa, a private individual established in Portugal and operating as CatalogVigil (the Licensor), and the purchaser identified on the accepted order receipt (the Licensee). The product is the downloadable CatalogVigil static application, source, build tools, tests, and documentation supplied for the purchased Agency or Studio variant.
Licence grant
Subject to payment, the applicable order, and this agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable licence to install, modify, and use the delivered software internally and while performing paid services for the Licensee's own clients.

Local development, test, and backup copies do not count as production deployments. A production deployment is a distinct live instance made available for the Licensee's organisation or its client work and controlled by the Licensee.
Permitted modifications
The Licensee may replace branding, colours, contact and legal text, configuration, and explanatory copy, and may make internal code changes needed for permitted deployments. The Licensee is responsible for testing its changes, keeping required third-party notices, protecting client data, and complying with the law that applies to each deployment.
Restrictions
The Licensee must not sell, sublicense, assign, publish, share, or distribute the kit or source; place it in a public or unrestricted repository; exceed the purchased user or deployment limits; or operate it as a substantially equivalent competing public CSV-validation product. Contractors may access the source only to work for the Licensee, within the user limit, under appropriate confidentiality obligations. The Licensee remains responsible for them.
The product may not be used for unlawful access, malware, credential collection, deceptive certification, or processing data without authority. Shopify and other third-party notices, safety limits, rule provenance, and the no-affiliation disclosure must not be removed in a misleading way.
Ownership
The Licensor retains ownership of the delivered kit and all rights not expressly granted. The Licensee owns its independent branding and original modifications, but may exercise those modifications with the licensed software only within this agreement. No Shopify or other third-party rights are transferred.
Updates and support
Annual variants receive updates while the subscription is active. Lifetime variants receive updates released during the 12 months following purchase; renewal of update access is optional if offered. A purchase does not include bespoke implementation, manual catalogue review, migration work, or a guaranteed response time. Reproducible product defects may be reported to catalogvigil@gmail.com without attaching a private catalogue.
Validation and technical boundary
The kit is static software that processes CSV data in the browser. It cannot observe Shopify store state, remote image responses, reference validity, app dependencies, permissions, or future platform behavior and does not guarantee an import. The Licensee must preserve backups, review generated changes, stage imports, and verify the result and connected systems.
Delivery, refunds, and licence effects
When checkout is active, Lemon Squeezy acts as Merchant of Record for payment, applicable tax, receipt, and digital delivery under its buyer terms. The delivery and refund policy forms part of the product terms. The licence does not take effect for an unpaid or rejected order. A completed refund or chargeback ends the licence for that order, subject to mandatory rights and any different written resolution.
Warranty and liability
To the extent permitted by law, the software is supplied as described and without a guarantee that every defect will be found or every file will be accepted. For a paid order, aggregate liability arising from the affected product is limited to the amount paid for that product where such a limit is lawful and proportionate.
Nothing excludes or limits fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, mandatory digital-content remedies, or any other liability or consumer/business right that cannot lawfully be limited.
Term and termination
An annual licence continues while its subscription is active. A lifetime licence continues for the delivered version unless terminated. The Licensor may terminate for a material breach not cured within 14 days after written notice, or immediately for deliberate redistribution, sublicensing, or public source disclosure. On termination, the Licensee must stop use and delete operational copies, except records that law requires it to retain.
Law, consumers, and general terms
This agreement is governed by Portuguese law. A consumer retains mandatory protection available under the law of the consumer's habitual residence and applicable jurisdiction rules. No provision requires a consumer to give up a non-excludable remedy or use an exclusively Portuguese forum where the law provides otherwise.
If a provision is invalid or unenforceable, it is reduced only as necessary and the rest remains effective. The order receipt, product description, this licence, the delivery/refund policy, and any mandatory checkout information form the agreement for the purchased product. If the order grants more specific rights, the more specific written term controls only that issue.
